Terms of Service

By accessing prc.network, using wallet.prc.network, interacting with our Telegram companion, any APIs/SDKs, or downloading PRC software (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use the Services. We may update these Terms at any time; material changes will be posted here with an updated "Last updated" date.

These Terms are between you and PRC Wallet UAB, a company organized under the laws of the Republic of Lithuania ("PRC," "we," "us").

Services covered:

• Web Wallet: wallet.prc.network (non-custodial)
• Website: prc.network (marketing, documentation, downloads)
• Telegram Companion: notifications/education (never stores keys)
• APIs/SDKs (if any) and future mobile/desktop apps

PRC is not a broker, exchange, custodian, or money transmitter.

You must be 18+ (or age of majority in your jurisdiction) and not subject to applicable sanctions. You are responsible for securing your devices, app locks, and network access. PRC does not operate hosted accounts that hold user funds.

Back up your 12/24-word seed offline and keep it private. A passphrase (optional) derives a different wallet; if you used one previously, you must remember it to recover that wallet. Practice a recovery on a second device. Never share your seed, private key, or passphrase with anyone, including PRC.

Submitting a transaction authorizes the network to process it. Transactions are irreversible once confirmed. You are responsible for gas/network fees, slippage, and choosing the correct network. Network conditions (congestion, forks, reorgs) may delay or fail transactions. Check our Status page (/status) for PRC service availability.

You may connect to third-party dApps, WalletConnect sessions, explorers, RPC providers, or hardware wallets. These are not controlled by PRC and may be subject to separate terms. Use discretion and verify permissions; revoke approvals you no longer trust.

Fiat on-/off-ramps: Not offered at launch. If enabled later, they will be provided by licensed partners under their own terms and (where required) KYC/AML obligations. PRC is not a party to your transactions with third parties.

You agree not to use the Services for:

• Illegal activities, sanctions evasion, fraud, market manipulation, or money laundering
• Interference with or disruption of the Services; scraping; excessive automated requests
• Reverse engineering except as permitted by applicable open-source licenses
• Circumventing security; distributing phishing/scams; exploiting smart-contract bugs
• Violating others' intellectual property, privacy, or data-protection rights

We may restrict access where required by law.

PRC does not charge network gas. Certain features (e.g., swaps or other partner-powered flows if introduced) may include partner fees or spreads disclosed before you confirm. You are responsible for any applicable taxes.

You represent that you are not located in, under control of, or a national/resident of any sanctioned country or on any prohibited list (including EU, UN, and OFAC lists). You will comply with applicable export-control and crypto-asset regulations.

We follow a privacy-first approach: minimal, opt-in analytics; we do not track balances or addresses. Details are in our Privacy Policy (/legal/privacy). Some third-party services (e.g., RPC providers, dApps you choose) may process your data under their own terms.

We prioritize security and welcome responsible reports at [email protected] (PGP & policy at /security/responsible-disclosure). We acknowledge within 48 hours and coordinate fixes. Do not publicly disclose vulnerabilities before a reasonable remediation period.

The Services, content, and brand assets are owned by PRC or its licensors and protected by IP laws. We may incorporate open-source software under their respective licenses, which govern those components. Subject to these Terms, we grant you a limited, revocable, non-transferable license to use our software.

If you provide feedback, you grant PRC a perpetual, worldwide, royalty-free license to use it without obligation. With your consent, we may feature anonymized testimonials or permitted partner logos.

Digital assets are volatile and risky. PRC does not provide investment, legal, or tax advice. The Services are provided "as is" and "as available," without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation). Networks, dApps, and third-party services are outside our control.

To the maximum extent permitted by law, PRC and its affiliates will not be liable for: lost profits; lost data; loss of digital assets; or any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility. Our aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of US$100 or the amounts (if any) you paid to PRC for the Services in the 12 months preceding the claim. Some jurisdictions do not allow certain limitations; rights may vary.

You will indemnify and hold PRC, its affiliates, and personnel harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, breach of these Terms, violation of law, or infringement of third-party rights.

If you download our apps from the Apple App Store or Google Play, your use is also governed by their terms and policies. Apple and Google are not responsible for support or warranty for PRC, to the extent permitted by law.

We may modify features, suspend, or terminate access (e.g., for maintenance, security, or legal compliance). Where feasible, material changes will be announced via the site or /support/changelog. You may stop using the Services at any time; uninstall apps and revoke dApp permissions.

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the Vilnius Court of Commercial Arbitration (VCCA) in accordance with its rules then in effect.

• Language: English (or Lithuanian, if required by mandatory law)
• Confidentiality: The arbitration and award are confidential except as required for enforcement or by law
• Class/collective actions: waived to the extent permitted by law

Either party may seek temporary or injunctive relief in the courts of Lithuania seated in Vilnius to protect intellectual-property or security interests.

Consumer notice (EEA): If you are a consumer within the EEA, mandatory consumer protections and venue rights may apply in addition to or instead of this clause to the extent required by law.

You consent to receive notices and records electronically and agree that electronic signatures and records satisfy legal requirements.

We may provide notices via the site, email, or in-app messages. Legal notices can be sent to [email protected]. Security issues should be sent to [email protected].

These Terms constitute the entire agreement between you and PRC regarding the Services and supersede prior understandings. If any provision is unenforceable, the remainder remains in effect. We may assign these Terms; you may not assign without our prior consent. Force majeure applies to events beyond reasonable control (e.g., network outages, regulatory changes). Sections that by nature should survive termination do so (including IP, disclaimers, liability limits, dispute resolution).
